No it is a good tranny. Just an older design and it seems not to take well
to
sitting.

Steve is correct, but anything that sits long enough will fall apart. Some
of the possible problems and malfunctions of the 302M transmission are...
Broken or worn bands; bad or worn clutch disks; bad, broken, or worn torque
converter; bad hydraulic pumps; and/or bad, broken or worn hard parts.
Again, these are just some of the problems.
One of the major problem with anything that sits, is water. Even in sealed
transmissions, transfers, differentials, engines, etc, etc., condensation
collects and causes rust inside the cases. Usage stirs up the water and with
regular oil changes, the water is disposed.
